Terms of sale and service

1. Purpose and contract documents

These terms of sale and service (“Terms”) govern equarith.com, customer accounts, orders, subscriptions, downloads, licensing services and support provided by Equarith.

The EULA defines software installation and use rights. The privacy policy explains personal-data processing. In a conflict, expressly agreed special terms and the order summary prevail, followed by these Terms and then the EULA for matters not exclusively concerned with the licence.

2. Customer eligibility

Customers represent that they can enter into a contract. An individual must be at least 18. Anyone ordering for an organisation represents that they can bind it. Consumer and business offers are distinguished where mandatory law treats them differently.

3. Equarith's main characteristics

Equarith is symbolic-regression software that searches, evaluates and exports equations from user-supplied data and parameters. Its primary computation is local. Edition limits, compatible systems, formats, dependencies, hardware requirements and available functions appear on the product and download pages and in the documentation for the ordered version.

Customers must check compatibility before purchase and back up their data. A paid licence uses online activation and a renewable certificate; one key permits one seat and one active machine at a time. The EULA contains details.

Outputs are mathematical candidates that depend on data, objectives, constraints and search randomness. Equarith does not certify causation, scientific truth or regulatory suitability. Any medical, financial, industrial, legal, safety-critical or other high-impact use requires independent validation by a qualified professional.

4. Offers

When available at the time of order:

• Free: a free edition with technical limits including 200 rows and 4 input variables;
• Pro monthly and Pro annual: use rights during the subscription period;
• Perpetual Pro: a one-time purchase granting perpetual use of every eligible version, with twelve calendar months of new versions included in the price, subject to the EULA;
• Academic annual: an eligibility-based offer for non-commercial academic use;
• volume licensing: multiple seats, each with a distinct key or activation entitlement.

For Perpetual Pro, the version available when the order is confirmed and every version officially first published by Equarith no later than the payment-confirmation date and time plus twelve calendar months are eligible, regardless of their version number or description as a major, minor or patch release. The “new versions included through” instant is calculated in UTC and is inclusive.

Eligibility depends solely on that first-publication date, not the download, installation or activation date. An eligible version may therefore be installed, reinstalled, activated or reactivated after the twelve-month period and used indefinitely, subject to seat limits, legitimate security measures and the EULA. It may also be downloaded after that date while Equarith continues to distribute it. A version first published after the cutoff is not included and may require a new update entitlement.

This commercial version guarantee is included in the Perpetual Pro price at no additional cost, applies in every territory where the offer is lawfully sold, and is given by Mr Brandonn Etheve, sole trader — Equarith, at the address and contacts in section 1. It covers versions actually published and promises no release cadence or minimum number of releases. It does not automatically include hosted services, bespoke work or a support level not expressly stated in the order.

To invoke it, the customer writes to contact@equarith.com or legal@equarith.com, stating the order reference, a masked licence key and the version concerned. After checking the entitlement, Equarith restores access to or activation of an eligible version at no charge, or provides any other contractually required remedy.

Perpetual licences acquired under earlier terms keep the more favourable rights previously granted to them. This commercial guarantee is additional to statutory guarantees and never limits any conformity or security fix, update or measure required by mandatory law.

5. Prices and taxes

Prices are stated in euros. Before the payment order, the customer sees unit price, quantity, discounts, applicable taxes and total amount due. The final summary prevails over an old screenshot, cached page or obsolete communication.

Equarith may change future prices without affecting a concluded order. A subscription price change at renewal will be notified on a durable medium sufficiently early to allow cancellation before it applies.

6. Ordering and formation

The customer selects an offer, reviews and corrects details, separately accepts these Terms and the EULA, acknowledges the privacy policy and, when requesting supply before the withdrawal period ends, gives the express request shown at checkout. The customer then proceeds to the payment provider, whose final button clearly communicates an obligation to pay.

The contract is formed when payment is authorised and an order confirmation is issued, subject to a legitimate anti-fraud check. An obvious pricing error, unavailable offer or unconfirmed payment may result in rejection and a full refund of any captured amount.

Equarith records the accepted text version, offer and consent timestamps. Confirmation, invoice and keys are sent to the supplied email and/or customer account. Customers must provide a valid email and protect their access.

7. Payment, delivery and invoices

Stripe processes payment through Payment Hub infrastructure. Equarith does not receive the full card number. Available methods and authentication steps are those shown by the provider.

After payment confirmation, download access and the licence are supplied without undue delay, normally by email and through the account. A customer who receives nothing should contact contact@equarith.com with the order reference and no sensitive card data.

Invoices are made available electronically. Customers accept this format and may download an invoice from their account or request redelivery.

For business customers, late payment automatically attracts interest at the European Central Bank's latest refinancing rate plus ten percentage points, never below the statutory minimum, and the statutory €40 fixed recovery charge. Reasonable additional documented recovery costs may be claimed where permitted.

8. Subscriptions, renewal and cancellation

A subscription runs for the displayed period and renews for equal periods until cancelled. The next renewal date and price are available in the billing portal. Customers can cancel online from the account without giving a reason or paying a cancellation fee. Cancellation normally takes effect at the end of the paid period, unless law requires earlier effect, and access remains available until then.

Where French tacit-renewal rules apply to a consumer, Equarith sends a dedicated written notice between three months and one month before the non-renewal deadline, clearly stating that date. Failure to provide a compliant notice gives the consumer the statutory cancellation rights.

Deleting an account does not necessarily cancel a subscription; the customer must use the cancellation control or obtain written confirmation from contact@equarith.com.

9. Withdrawal, cancellations and refunds

The applicable rights and procedure are in the withdrawal and refund policy, which forms part of these Terms.

Consumers normally have 14 days to withdraw from a distance contract. To receive software or a key immediately, they may expressly request supply before that period ends and acknowledge losing the right of withdrawal once digital-content performance begins. Without valid consent and acknowledgement, the statutory right remains. Loss of withdrawal never affects the statutory conformity guarantee.

10. Statutory digital-content guarantee

Consumer statutory guarantee. For a one-off supply, a consumer may invoke the legal conformity guarantee for a defect arising within two years of supply; during the first year, the consumer need establish only that the defect exists, not when it arose. For a subscription or other continuous supply, the guarantee and that evidential rule apply throughout the contractual supply period. Equarith must provide updates needed to maintain conformity for the period required by law. The consumer may demand conformity without charge, major inconvenience or undue delay. If Equarith refuses, delays unjustifiably, imposes a charge, causes major inconvenience or the defect persists after an attempt, the consumer may keep the content and obtain a price reduction or end the contract, relinquish the content and obtain a refund. A sufficiently serious defect may make those remedies immediate; for a minor defect, termination is available only where the contract requires no price. Downtime for conformity work suspends the remaining period. These rights arise in particular from Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code. Bad-faith obstruction exposes the supplier to the statutory civil fine, which may reach €300,000 or 10% of average annual revenue. The latent-defect guarantee under Articles 1641 to 1649 of the French Civil Code also remains available for two years after discovery and may result in a price reduction or refund against relinquishment of the content.

To use the guarantee, contact contact@equarith.com with the version, system, order and reproduction steps, but no confidential data. No additional commercial warranty applies unless expressly stated in the order.

11. User obligations

Users must:

• provide accurate information and keep access credentials and keys confidential;
• comply with law, third-party rights, seat limits and the EULA;
• maintain a compatible environment, apply security updates and back up work;
• not evade security, disrupt services, automate abusive requests, introduce malware or use the site for fraud; and
• ensure they may lawfully process the selected data.

The customer remains responsible for data selection, parameters, validation, interpretation and use of results.

12. Content ownership and feedback

Equarith claims no ownership of user datasets, projects or exports. Users retain their rights and represent that they may process their content. Equarith may use voluntarily supplied ideas or suggestions without disclosing user confidential information and without acquiring the user's source content.

The website, services and software remain the property of the publisher or licensors. No rights are granted beyond those expressly stated.

13. Maintenance and changes

Equarith may correct, secure and develop the software and services. For Perpetual Pro, the twelve-month period gives access at no additional cost to versions Equarith actually publishes during that period; it imposes no minimum release count or cadence. Versions published after the commercial cutoff are not automatically included. This rule does not affect any conformity, security or other update required by mandatory law.

Maintenance may cause temporary interruption. For a continuing consumer service, a change materially degrading an essential feature is notified in advance where law requires and gives the customer any mandatory remedies. Equarith need not maintain compatibility indefinitely with an abandoned third-party system, subject to legally required guarantees and updates.

14. Suspension and termination for breach

Equarith may proportionately suspend an account or key for fraud, non-payment, security risk, manifest key sharing or material breach. Except in an emergency or where impossible, the customer receives the reason and a reasonable opportunity to cure. Termination does not affect accrued amounts, rights, guarantees or surviving duties.

15. Liability

Nothing excludes liability for fraud, gross negligence, personal injury, breach of an essential obligation that deprives the contract of its substance, a statutory guarantee, personal data, or any other liability that cannot lawfully be excluded.

For consumers, only limitations allowed by mandatory law apply.

For business customers, Equarith is liable only for direct, foreseeable and proven loss caused by breach. Subject to the previous exclusions, aggregate liability is capped at the amount excluding tax paid for the affected service in the 12 months before the event, or the price of the affected perpetual licence where there is no subscription. Indirect loss, loss of opportunity, revenue or unbacked-up data, and a decision made without independent validation are excluded to the extent permitted by law.

Neither party is liable for delay caused by force majeure under French law; it must notify the other and mitigate the effects. If prevention continues, either party may end the affected service as allowed by law.

16. Complaints and consumer mediation

First send any complaint to legal@equarith.com or the publisher's postal address, giving the order reference and requested solution.

After first sending a written complaint that remains unresolved or receives an unsatisfactory response, a consumer may refer the matter free of charge to:

Mediation is free for the consumer. The consumer must first have sent Equarith a written complaint and provide evidence of that step when referring the matter.

Consumers living in another European country may also seek information from the European Consumer Centre France. The former EU online dispute-resolution platform closed on 20 July 2025 and is therefore not offered.

17. Governing law and courts

French law governs the contract. Consumers retain mandatory protections of their country of residence and may use any court available under applicable jurisdiction rules.

After an amicable attempt, disputes between businesses fall within the exclusive jurisdiction of the materially competent courts of Saint-Denis, Réunion, including multiple defendants and third-party proceedings.

18. General terms and amendments

If a provision is invalid, the rest remains effective and the provision is replaced as far as possible by a lawful rule with similar effect. Failure to enforce a right is not a waiver. Customers may not assign the contract without written consent except under mandatory law; Equarith may transfer it with the business without reducing consumer rights.

The version accepted at checkout governs that order. A later version applies to future orders. For a continuing service, a material amendment is notified on a durable medium with its effective date and any right to reject or cancel. The date and version at the top identify the text.
