End-user licence agreement (EULA)

1. Acceptance and scope

This end-user licence agreement (“EULA”) is between Mr Brandonn Etheve, sole trader — Equarith (“Publisher”) and the person or organisation downloading, installing, activating or using Equarith (“User”).

By accepting it at checkout, or installing or using a free edition after the EULA is presented, the User agrees to it. A person acting for an organisation represents that they can bind it. A User who does not agree must not install or use the software and may exercise any applicable statutory rights.

The Terms govern orders and services; this EULA governs the software copy and use rights. Mandatory rights, including consumer rights, prevail.

2. Licence grant

Subject to compliance and, for a paid offer, payment, the Publisher grants a limited, non-exclusive, non-transferable except under mandatory law, non-sublicensable licence that may be revoked for breach, to install and run Equarith for the User's own needs.

Each seat or key permits one active machine at a time. Graphical and command-line interfaces on that same machine are one installation. An organisation must obtain a seat for each simultaneously authorised machine or user as the offer specifies. Employees and contractors may use its seats for the organisation, under its responsibility and without receiving ownership of the licence.

One reasonable backup copy of installation files may be kept. Documentation may be copied internally only to support valid seats.

3. Editions and term

Free

The Free licence has no price and is subject to announced limits, including 200 rows and 4 input variables. It does not require remote activation. The Publisher may change future Free-version features without retrospectively disabling a lawfully obtained copy, subject to security and law.

Subscription Pro

The licence lasts for the paid subscription period and ends upon expiry or effective cancellation. The ordered seat count determines permitted active installations.

Perpetual Pro

The licence permits indefinite contractual use of every eligible version. A version is eligible when the Publisher officially first publishes it no later than the payment-confirmation date and time plus twelve calendar months, regardless of its number or description as a major, minor or patch release. This cutoff is calculated in UTC and is inclusive.

Eligibility depends on the first-publication date, not the download, installation or activation date. An eligible version may therefore be installed, reinstalled, activated or reactivated after the twelve-month period and used indefinitely, subject to seat limits, legitimate security measures and this EULA. A version first published after the cutoff is not included and may require a new update entitlement.

Periodic renewal of a signed certificate verifies this right without turning the perpetual licence into a subscription. A licence acquired under earlier terms keeps the more favourable rights granted under those terms. The Publisher may not arbitrarily deprive the User of the perpetual right and must plan a reasonable continuity mechanism if the activation service permanently closes.

Academic

Academic is limited to persons and organisations meeting the displayed eligibility criteria and to non-commercial teaching or research. Reasonable evidence may be requested. Work funded or primarily exploited commercially requires Pro unless agreed otherwise in writing.

4. Activation and certificates

A paid licence may require a connection on activation and periodically to renew a signed certificate, whose planned maximum term is 30 days. Activation binds the key to a cryptographic installation and machine representation; no raw hardware identifier is sent. A User may deactivate an old machine before a legitimate transfer.

Users must not activate more machines than seats, publish a key or evade controls. Activation may be temporarily refused for exceeded limits, revocation, an expired subscription, invalid cryptographic proof or fraud risk. Support reviews false positives reported to contact@equarith.com.

5. Restrictions

Except with written permission or under a mandatory right, Users must not:

• sell, rent, lend, sublicense, publish, distribute or make Equarith available to a third party;
• use one licence as a shared service, multi-user remote desktop, service bureau, SaaS or third-party computing service;
• copy the software beyond authorised installation and backup;
• evade row, variable, seat, activation, certificate or security controls;
• modify, disassemble, decompile or seek source code except to the extent strictly allowed by law;
• remove rights notices, signatures or integrity controls; or
• use Equarith to attack systems, process data unlawfully, infringe rights or perform an unlawful activity.

Mandatory exceptions for observing operation, error correction or interoperability remain available. Interoperability information may first be requested from legal@equarith.com; doing so does not reduce statutory rights, and information obtained may not be used beyond the authorised purpose.

6. Data, projects and results

As between Publisher and User, the User retains rights in imported data, projects, parameters and exports. Merely using Equarith transfers none of them. A mathematical expression may not itself qualify for protection under applicable law; this EULA creates no monopoly that the law does not recognise.

Primary processing is local. Users are responsible for lawful data, backups, search configuration, bias assessment and output validation. A discovered correlation or equation must not be treated as proof of causation.

7. Software ownership and third-party components

Equarith, its documentation and original elements remain the Publisher's property. The licence is not a sale of source code or an assignment of intellectual property. Open-source and third-party components are governed by notices and licences distributed with them, which prevail for those components only.

8. Updates, support and telemetry

The commercial twelve-month period gives access at no additional cost to versions the Publisher actually releases during that period; it promises no minimum release count or cadence. Versions first published after the commercial cutoff are not automatically included.

The Publisher may supply fixes, security updates and developments. An update may be required for security, conformity or compatibility. The commercial twelve-month cutoff does not affect any conformity, security or other update required by mandatory law. Statutory guarantees determine the updates that must be supplied and the effect of a User failing to install one after adequate notice.

Support is limited to the level announced for the offer, with no guaranteed resolution time unless expressly agreed.

Optional automatic error reports can be disabled and are encrypted and minimised as stated in the privacy policy. They must not contain datasets, projects, formulae, files, paths, messages or licence identifiers. Optional website telemetry is not enabled without prior consent.

9. Guarantees and scientific output

Consumers have the statutory conformity and latent-defect guarantees in the Terms. No mandatory right is excluded.

For businesses, subject to non-excludable duties, the software is supplied in accordance with its documentation without a promise that every search will find a particular formula, converge within a given time or suit an undisclosed purpose. Performance depends on hardware, data, parameters, constraints and library versions.

Equarith supports exploration. Users must perform out-of-sample tests, analyse units, domains, singularities, uncertainty and risk, and subject every critical use to qualified human review. The software does not provide medical, financial, legal, regulatory or safety advice.

10. Key confidentiality and security

Users must protect keys, installers and account access and promptly notify legal@equarith.com of compromise. The Publisher may replace a compromised key and revoke the old one without reducing legitimately purchased seats.

Good-faith security research must avoid access to others' data, disruption and premature disclosure. Coordinated reporting before publication is encouraged.

11. Volume-licence verification

For an organisation with multiple seats, the Publisher may no more than annually, or following credible evidence of excess use, request a reasonable installation-count attestation. Verification must be proportionate, announced and avoid business data. Confirmed excess use must be regularised; no intrusive audit is permitted without separate agreement or legal authority.

12. Suspension and termination

The licence ends upon subscription expiry, cancellation or an uncured material breach following notice and a reasonable cure period, except in a security emergency, fraud or public key sharing. On termination, the User stops use and deletes unauthorised copies. User data and exports remain theirs.

Ownership, previously breached restrictions, liability, evidence, governing-law and naturally surviving provisions remain effective. Ending the EULA does not remove a refund, guarantee or other statutory right.

13. Export controls and sanctions

Users must comply with applicable export-control and economic-sanctions laws and must not use or transfer the software where legally prohibited. This provision imposes no restriction contrary to mandatory European Union law.

14. Liability and governing law

The liability limits, exclusions, force-majeure rules, governing law and jurisdiction in the Terms apply to the EULA. They never restrict non-excludable rights or liability.

The EULA, order and any special terms form the licence agreement. Invalidity of one provision does not invalidate the rest. An amendment does not retrospectively affect an acquired perpetual licence; for a continuing service, the Terms' notice requirements and mandatory rights apply.
